These Terms of Use (“Terms”) govern your access to and use of sternwheellabs.com (the “Site”), operated by Sternwheel Labs LLC (“Sternwheel Labs,” “we,” “us”). By using the Site, you agree to these Terms. If you don’t agree, please don’t use the Site.
The Site
The Site provides general information about Sternwheel Labs. Nothing on the Site is an offer to sell, a commitment to deliver any product or feature, or professional advice. Any future products or services we offer will be governed by separate agreements, which control over these Terms where they conflict.
Acceptable use
You agree not to:
- use the Site in violation of any applicable law;
- attempt to gain unauthorized access to the Site or the systems that host it, or interfere with its operation;
- introduce malware or use automated means to place an unreasonable load on the Site; or
- misrepresent your affiliation with Sternwheel Labs or use our name or marks to suggest an endorsement we haven’t given.
Intellectual property
The Site and its content — including text, graphics, the Sternwheel Labs name, and the rotor logo — are owned by Sternwheel Labs or its licensors and are protected by intellectual property laws. You may view the Site and share links to it for your personal or internal business use. Any other use, including copying, modifying, or redistributing Site content, requires our prior written permission.
Feedback
If you send us ideas, suggestions, or other feedback, you agree we may use it without restriction or obligation to you.
Third-party links and services
The Site may link to or rely on third-party websites and services. We don’t control them and aren’t responsible for their content, policies, or practices.
Privacy
Our Privacy Policy describes how we handle information in connection with the Site.
Disclaimers
The Site is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don’t warrant that the Site will be uninterrupted, error-free, or secure, or that its content is accurate or complete.
Limitation of liability
To the fullest extent permitted by law, Sternwheel Labs and its members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Site. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (US $100).
Some jurisdictions don’t allow certain disclaimers or limitations, so some of the above may not apply to you.
Indemnification
You agree to indemnify and hold harmless Sternwheel Labs from any claims, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site or your violation of these Terms.
Governing law
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules, and by applicable U.S. federal law. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in New Jersey, and you consent to their jurisdiction.
Changes
We may update these Terms from time to time. Changes take effect when posted here with a new effective date. Your continued use of the Site after that means you accept the updated Terms.
General
If any provision of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce a provision isn’t a waiver of it. These Terms are the entire agreement between you and us regarding the Site.
